Vendor/Sponsor Agreement
Vendor/Sponsor Agreement
This Agreement is made between Cold Noses Foundation, Inc., (known herein as the “host” and vendors and sponsors for the Paws at the Beach Pet Festival and Walk event held at the Craigville Beach at 997 Craigville Beach Rd. in Centerville, MA. 02632 on September 22nd, 2018.
Definitions
Vendor/Sponsor is anyone selling or advertising goods or food at the event or any non profit with a free vendor booth.
Host is Cold Noses Foundation, Inc.
Terms
In consideration of being allowed to participate in any way in Paws at the Beach Pet Festival and Walk event the vendor agrees to the following terms and conditions:
- Set up may begin on 9/22/2018 no earlier than 8am and must be complete by 9:45am.
- Vendors and Sponsors will be given a 10x10 or 10x20 space only depending on what they paid for. Spaces will be given out in the morning of the event.
- Vendors and Sponsors are responsible for providing their own chairs, tables,etc.
- Every effort will be made to put vendors under tents with or without windscreens.
- No tents shall be staked into the ground, and doing so will result in a fine up to the cost of repairing the pavement.
- No music, loudspeakers or sound ampliphication may be used at anytime.
- Vendor's and sponsor’s staff will be properly dressed and their appearance will be clean and neat and they shall conduct themselves in an orderly fashion.
- Vendors and Sponsors may drive into adjacent parking lot and unload.
- No vehicles will be allowed to remain in the vendor area unless they are pre-approved.
- All signage must be appropriate for all ages.
- No raffles for money may be hosted by any vendors.
- Vendors and sponsors must disassemble their displays and tents no later than 4pm on 9/23/17. Trash must be picked up and area left as it was found.
- No animals may be adopted out at the event. (However, applications may be taken and families pre-approved to adopt may receive delivery of an animal)
- All animals must be properly restrained and have adequate access to shade and water.
- Event is rain or shine and no refunds will be given.
Hold Harmless
The Vendor(s) and Sponsor(s) hereby irrevocably and unconditionally agrees, to the fullest extent permitted by law, to defend, indemnify and hold harmless the hosts, their officers, directors, trustees, employees and agents, from and against any and all claims, liabilities, losses and expenses (including reasonable attorney's fees) directly, indirectly, wholly or partially arising from or in connection with any act or omission of the Vendor or Sponsor or the Vendor’s or Sponsor’s employees or agents, in regards to the Paws at the Beach Pet Festival and Walk.
Use of Logos and Media
The Vendor or Sponsor agrees to allow it’s name and/or logo and/or website an/or photo to be used in connection with the Paws at the Beach Pet Festival and Walk.
The Vendor or Sponsor may use the host’s name in announcements on social media. The vendor or Sponsor may only use approved print advertising materials such as flyers and emails.
Flyers may be requested from host at any time.
Termination
Right to be a vendor can terminate if:
- The host feels the Vendor or Sponsor has acted irresponsibly or in a manner that is harmful to the host’s brand.
- The Vendor or Sponsor fails to perform or observe any other covenant of this agreement.
Conclusion
This Agreement will supersede any prior oral or written understanding between the parties, and may not be amended or modified except in writing signed by both parties.
This Agreement shall be governed by and construed in accordance with the laws of the State of Massachusetts applicable to agreements made and to be performed entirely within such State.
In agreement to the above mentioned terms a representative of the Vendor or Sponsor will check the 'Vendor/Sponsor Agreement" box in the form.
